AI is entering a new phase. Having moved from analysis to decision support, it is now progressing towards the autonomous execution of industrial tasks such as maintenance, energy optimisation and operational control.
Atlas, Cognite’s AI agent platform, will reinforce AVEVA’s CONNECT platform, placing Schneider’s software subsidiary at the heart of its industrial intelligence strategy.
Schneider is now assembling the entire technology stack: equipment, software, a cloud platform, contextualised data and AI agents, with the aim of covering the full lifecycle of industrial infrastructure.
Competition is no longer limited to traditional industrial groups. Siemens, Honeywell and Rockwell Automation are developing similar platforms, while Microsoft, AWS, Google Cloud and NVIDIA are also seeking to control the factory’s intelligence layer.
The real issue is control of industrial data. Equipment is increasingly becoming a source of data, and the competitive advantage will belong to those capable of contextualising it and turning it into automated decisions.
The acquisition multiple, close to eighteen times Cognite’s revenue, reflects the purchase of eight years of R&D, a mature platform and expertise that would be difficult to replicate, rather than the company’s current revenue alone.
This acquisition marks a major strategic shift. After electrification and automation, Schneider Electric now intends to become one of the leading architects of industrial intelligence and the future operating system of factories.
The announcement initially prompted a wary response from the markets. By spending $3.1 billion to acquire Cognite, an industrial software company founded in 2017 and generating just over $170 million in annual revenue, Schneider Electric immediately reignited concerns over artificial intelligence valuations. Shares in the French group fell following the announcement, while several analysts described the multiple as high, even as they acknowledged the strategic rationale behind the transaction.
That debate, however, misses the central issue. Schneider Electric is not buying yet another generative AI company. It is seeking to control the technology layer that could become one of the most strategically important in industry over the coming decade. Behind the acquisition lies a much deeper transformation. Having built its leadership around electrification and automation, Schneider now intends to become a central player in industrial intelligence.
Industry has entered a new phase of its digital transformation. The first revolution was about connecting equipment. Programmable logic controllers, SCADA systems, IoT sensors and digital twins gradually made factories observable. Every machine, motor and production line became a source of data.
That stage is now largely complete. Industrial companies no longer lack information. They face the opposite problem: an abundance of data generated by heterogeneous systems that cannot communicate naturally with one another. Maintenance, engineering, supervision, asset management, energy consumption and planning data remain trapped in technical silos built up over several decades.
Artificial intelligence fundamentally changes the nature of the problem. Models are no longer the primary limiting factor. Their effectiveness now depends on their ability to understand the operational context in which they function. An AI system capable of generating text provides little value if it cannot understand the relationship between a pump, a heat exchanger, a safety valve and a maintenance history. This is precisely the layer on which Cognite has built its technological advantage.
Contrary to the image commonly associated with AI companies, Cognite does not primarily develop models. Its expertise lies in creating a coherent representation of industrial infrastructure through a unified data model and a knowledge graph capable of automatically connecting information from hundreds of different systems. This contextualisation is the company’s real strategic asset.
In a modern factory, a single maintenance operation may simultaneously involve asset management software, a supervisory system, engineering drawings, incident records, real-time sensor data and safety procedures. All this information already exists. The problem is that it is generally not connected.
By reconstructing these relationships, Cognite provides the foundation on which artificial intelligence can finally reason reliably.
There is another important consideration. Until now, industrial companies have mainly explored AI as a decision-support tool. Models detected anomalies, issued recommendations or produced analyses.
That logic is now changing. The objective is no longer simply to identify the risk of a breakdown, but to automatically trigger a maintenance order or adjust operating parameters in real time. AI is gradually moving from being an observer to becoming an active participant in industrial operations.
Atlas, the platform developed by Cognite, illustrates this transition. Its low-code environment enables companies to build agents capable of interacting directly with industrial data, automating complex workflows and assisting operators with decision-making processes that have so far remained largely manual.
This capability will complement CONNECT, the platform operated by Schneider Electric’s software subsidiary AVEVA. This is probably one of the most important lessons from the acquisition. Although Cognite is formally being acquired by Schneider Electric, the transaction is primarily designed to reinforce AVEVA. Cognite will be integrated into the British subsidiary to enhance CONNECT, its industrial intelligence platform.
The emerging architecture is increasingly clear: electrical and automation equipment generates the data; AVEVA provides the software platform; CONNECT orchestrates the information in the cloud; Cognite contextualises it and makes it usable by AI; and Atlas supplies the agents capable of automating operations.
Schneider is assembling all the components of a platform spanning the entire industrial value chain, from infrastructure design to day-to-day operations.
This evolution is gradually bringing Schneider Electric closer to the major software platform providers. In future, differentiation will no longer depend solely on the performance of a programmable controller or electrical switchboard. It will depend on the ability to connect equipment, software, data and artificial intelligence agents within the same environment.
Siemens, Honeywell, Rockwell Automation and Emerson are pursuing comparable strategies, each seeking to develop its own industrial intelligence platform.
Hyperscalers are also investing heavily in this strategic layer. Microsoft, Amazon Web Services and Google Cloud already offer environments capable of hosting digital twins, industrial data platforms and generative AI services. NVIDIA, for its part, provides the computing infrastructure and specialised models powering this new generation of applications.
The boundary between industrial companies and technology groups is becoming increasingly blurred. The former control equipment and physical processes, while the latter dominate computing power, models and cloud infrastructure. The battle will ultimately be fought over a third layer: contextualised data capable of powering autonomous agents. This is precisely the position Schneider is now seeking to secure.
The market reaction nevertheless reflects an understandable degree of caution. At a price equivalent to nearly eighteen times Cognite’s annual revenue, the transaction appears demanding by traditional enterprise software standards.
Schneider Electric is unlikely to be valuing Cognite solely on the basis of its current revenue. The group is acquiring eight years of development on a cloud-native industrial platform, a knowledge graph designed for complex environments, hundreds of connectors to leading industrial systems, technology already deployed among major international customers, and more than 800 specialists in industrial data and artificial intelligence. Rebuilding this entire system internally would probably have required several years of development, with no guarantee of achieving the same level of maturity.
Ultimately, the acquisition reflects a much deeper shift in how value is created in industry. For decades, equipment was the main source of differentiation. Artificial intelligence is opening a new frontier in which value is increasingly concentrated around data, its contextualisation and its autonomous use.
By spending $3.1 billion on Cognite, Schneider Electric is positioning itself within what could become the nervous system of industrial infrastructure. Equipment will remain indispensable in the factory of the future, but the competitive advantage will increasingly belong to whoever can understand the data it generates, orchestrate the decisions it enables and automate the actions that follow. More than Cognite’s valuation, it is this ambition that gives the transaction its full strategic significance.
